Gene Target Solutions – Terms & Conditions of Sale

1. Acceptance of Terms
By accessing our website or placing an order with Gene Target Solutions (“we”, “us”, “our”), you agree to these Terms & Conditions.
These Terms apply to all goods and services we supply and override any terms you propose, unless agreed in writing.
2. Your Rights Under Australian Law
Nothing in these Terms excludes your rights under the Australian Consumer Law (ACL).
If you are a consumer:
- You are entitled to statutory guarantees
- For major failures: refund or replacement
- For minor failures: repair or replacement within a reasonable time
3. Orders & Contract Formation
- Listings and quotes are invitations to treat only
- Your order is an offer valid for 7 days
- We may accept or decline orders acting reasonably
A contract is formed when we:
- Confirm your order
- Dispatch goods
- Begin supplying services
We may cancel orders (acting reasonably). If payment has been made, you will receive a refund
4. Pricing & Payment
- All prices are in AUD and exclude GST unless stated
- Delivery, insurance, and handling are additional
Payment terms:
- 14 days from invoice (unless agreed otherwise)
- Payment must be made in full without deductions (unless disputed in writing)
Late payments may incur:
- Interest (10% per annum or maximum allowed by law)
- Recovery costs
If payment terms are not met, we may suspend supply or require prepayment.
Price changes:
We may adjust prices before delivery due to cost increases (e.g. exchange rates).
If this materially disadvantages you, you may cancel before dispatch.
5. Delivery & Risk
- Delivery dates are estimates only
- We are not liable for delays (subject to law)
- Risk passes to you upon dispatch or collection
- Title remains with us until full payment is received
We may deliver in instalments.
6. Returns, Refunds & Cancellations
This policy is subject to your rights under the ACL.
Faulty Products
- Major failure → refund or replacement
- Minor failure → repair or replacement
Change of Mind
- Requires prior approval
- Items must be unused and in original packaging
- Restocking fee up to 20% may apply
- Shipping is non-refundable
Custom / Hazardous Items
- Cannot be returned or cancelled unless required by law
- Must follow strict safety requirements
Claims Timeframe
Non-ACL claims must be made within 30 days of delivery.
7. Limitation of Liability
Nothing limits your rights under the ACL.
Where permitted by law:
- We limit liability to:
- replacement or repair of goods; or
- resupply of services
We are not liable for:
- loss of profit, revenue, or business
- loss of data or opportunity
- business interruption
- indirect or consequential loss
Our total liability is limited to the amount paid for the goods or services.
8. Indemnity
You agree to indemnify us against claims or losses arising from:
- misuse of products
- breach of laws or regulations
- your breach of these Terms
- third-party claims related to your use of the goods
9. Product Use & Technical Advice
All advice is provided in good faith but without guarantee.
You are responsible for:
- determining suitability for your use
- complying with all laws and regulations
- safe handling, storage, and disposal
- ensuring staff are properly trained
10. Force Majeure
We are not responsible for delays or failures caused by events beyond our control, including:
- natural disasters
- supply chain disruptions
- labour disputes
- government actions or recalls
We may suspend performance during such events.
11. Retention of Title
Goods remain our property until fully paid.
Until then, you must:
- store them separately
- keep them insured
- hold them as bailee
We may recover unpaid goods where permitted by law.
12. PPSA (Security Interest)
You grant us a security interest in goods supplied.
We may register this interest under the Personal Property Securities Act 2009 (Cth).
13. Suspension & Termination
We may suspend or terminate supply if:
- you breach these Terms and fail to fix it within 7 days: or
- you become insolvent
Immediate termination may occur for serious breaches.
14. GST
- Prices exclude GST unless stated
- GST will be added where applicable
- A tax invoice will be provided
15. Trusts
If you act as a trustee:
- you are personally liable
- you confirm authority to enter this agreement
- you indemnify us against trust-related risks
16. Intellectual Property
All intellectual property remains owned by us or our licensors.
You must not use or reproduce it without permission.
17. Privacy
We handle personal information in accordance with our Privacy Policy.
18. Notices
Notices may be sent by email or post and are considered received within a reasonable time.
19. Governing Law
These Terms are governed by the laws of New South Wales, Australia.
You agree to the exclusive jurisdiction of NSW courts.
20. Updates to These Terms
We may update these Terms from time to time.
Changes apply to new orders after publication and will not affect existing contracts unless agreed.
